The company is seeking shareholder approval for significant changes to its capital structure and borrowing capacity. The primary agenda involves increasing the authorized share capital from ₹14 crore to ₹40 crore, alongside granting the board permission to borrow up to ₹20 crore.

Capital Structure Changes

The board proposes increasing the authorized share capital by creating 2.6 crore additional equity shares of ₹10 each. This move aims to address present and future fund requirements.

The resolution requires an ordinary vote. If approved, Clause V of the Memorandum of Association will be amended to reflect the new capital structure.

Borrowing Limits and Charges

Shareholders will also decide on a special resolution to approve borrowing limits of up to ₹20 crore. This facility covers various instruments including term loans, working capital facilities, cash credit, overdrafts, and non-convertible debentures.

Additionally, the board seeks consent to create mortgages, charges, or hypothecations on current and future assets to secure these borrowings. The total outstanding value of secured borrowings shall not exceed ₹20 crore, inclusive of interest and other associated costs.

Director Reappointment

Mr. Shreyash Vinodkumar Chaturvedi retires by rotation at the meeting and, being eligible, offers himself for reappointment. He has served as a director since August 4, 2017, and holds 10,77,781 equity shares in the company. His attendance record shows he attended all 40 board meetings since his appointment.

Voting Details

The cut-off date for determining voting rights is Wednesday, September 16, 2026. The register of members and share transfer books will remain closed from September 17 to September 23, 2026. Remote e-voting commences on Sunday, September 20, 2026, at 9:00 am and ends on Tuesday, September 22, 2026, at 5:00 pm.
