Multinational law firm Pinsent Masons has advised Australian multi-content and entertainment business Sports Entertainment Group Limited (ASX: SEG) on a capital raising to help fund the acquisition of MediaWorks Topco Limited, New Zealand’s largest audio business and third largest advertising platform across all media, as well as on all Australian aspects of the acquisition, including associated ASX regulatory requirements.
The transformative transaction will see SEG re-enter the New Zealand market and create the leading Trans-Tasman audio platform, combining sport, entertainment and music content.
The complex and strategically structured capital raising comprised a multi-tranche institutional placement, together with a share purchase plan, providing SEG with funding flexibility to support its strategic acquisition of MediaWorks and continued growth across the Trans-Tasman market.
The Pinsent Masons team on the matter was led by Sydney corporate partner James Stewart, supported by corporate team members Madison Smith, Rachel Brennan and Poppy Koulouris. The firm’s international platform was integral to delivering a fully integrated cross-border service, with contributions from Dinesh Banani and Jen Yong (London), Alasdair Weir (Manchester), Ailie Isdale and Ross Keohane (Glasgow), Mark Tan and Mayumi Soh (Singapore) and Norman Leung (Hong Kong).
The transaction highlights Pinsent Masons’ ability to mobilise global teams and deliver seamless, commercially focused advice on strategically important transactions across the Asia-Pacific region and beyond.
