    Zee Entertainment Enterprises Limited posted a consolidated net profit of ₹743 million in Q1FY27, recovering from a loss in the prior quarter. Revenue grew 4.8% YoY to ₹19,385 million, fueled by subscription gains. The Board approved director re-appointments and addressed ongoing SEBI proceedings and arbitration with JioStar.

    Zee Entertainment returned to profitability in the first quarter of FY27, reporting a consolidated net profit of ₹743 million for the period ended June 30, 2026. This stands in contrast to a consolidated loss of ₹1,037 million reported in the corresponding quarter of the previous year and a loss of ₹1,037 million in the immediately preceding quarter ended March 31, 2026. The turnaround was driven by a 4.8% year-on-year increase in consolidated revenue from operations to ₹19,385 million, with subscription revenue emerging as the primary growth engine, rising 15.8% to ₹11,369 million.

    The Board of Directors approved the unaudited standalone and consolidated financial results on August 10, 2026, following recommendations by the Audit Committee. The results were subjected to a limited review by Walker Chandiok & Co LLP, the statutory auditors, who issued an unmodified conclusion. The Board also approved the convening of the 44th Annual General Meeting (AGM) scheduled for September 17, 2026, to be conducted

    Financial Performance Highlights

    Consolidated revenue from operations stood at ₹19,385 million, comprising ₹6,714 million from advertisement revenue and ₹11,369 million from subscription revenue. Other sales and services contributed ₹990 million. Total income, including other income of ₹312 million, reached ₹19,385 million. Total expenses amounted to ₹18,644 million, including operational costs of ₹10,317 million and employee benefits expense of ₹2,126 million. Finance costs were contained at ₹132 million.

    On a standalone basis, the company reported a net loss of ₹32 million for the quarter, compared to a net loss of ₹40 million in the prior quarter and a profit of ₹3 million in the same quarter last year. Standalone revenue from operations increased 5.9% year-on-year to ₹17,809 million.

    Corporate Actions and Governance

    The Board approved the re-appointment of Vaibhav P Joshi & Associates as Cost Auditors for FY27. MGB & Co. LLP and CKSP & Co were re-appointed as Internal Auditors for the same period. Four independent directors were recommended for re-appointment for a second term of five years, subject to shareholder approval at the AGM:

    • Deepu Bansal (Term: October 13, 2026 – October 12, 2031)
    • Uttam Prakash Agarwal (Term: December 17, 2026 – December 16, 2031)
    • Venkata Ramana Murthy Pinisetti (Term: December 17, 2026 – December 16, 2031)
    • Shishir Babubhai Desai (Term: December 17, 2026 – December 16, 2031)

    Additionally, shareholders had previously approved the issuance of fully convertible warrants aggregating ₹31,435 million to promoter group entities and an Employee Stock Option Plan (ESOP) granting 37,422,835 stock options.

    Regulatory and Legal Developments

    The company continues to navigate several regulatory matters. SEBI rejected a settlement application regarding an alleged lien over a property during the quarter. Subsequently, SEBI imposed a penalty of ₹3 million and restrained the company from accessing securities markets for two months. The company has filed an appeal before the Securities Appellate Tribunal (SAT) seeking a stay on this order. Management maintains that it has strong grounds for defense.

    In the ongoing arbitration with JioStar India Private Limited regarding ICC broadcasting rights, JioStar increased its damages claim to USD 1,097 million. Final evidentiary hearings have been completed, and both parties are required to file post-hearing briefs. Zee Entertainment contends that JioStar is in breach of the Alliance Agreement and believes the claims are unfounded.
