    Reef Casino Trust (ASX:RCT) has received a Form 605 notice disclosing that KKCG Entertainment AG (formerly known as Allwyn AG) and its associates, collectively referred to as the Allwyn Group, ceased to be a substantial holder in the Trust on 4 <a href="https://comicvibe.com/ghost-driver-codes-for-september-2026/" title="Ghost Driver Codes for September 2026“>September 2026.

    Cessation of Substantial Holding

    According to the filing, each member of the Allwyn Group was deemed under section 608(3) of the Corporations Act 2001 to have acquired the same relevant interest in units in Reef Casino Trust that Casinos Austria AG and its associated entities held. When Casinos Austria Group ceased to be a substantial holder of Reef Casino Trust on 4 September 2026 — by reason of acceptance of offers made under the off-market takeover bid — each member of the Allwyn Group also ceased to have a relevant interest in units in Reef Casino Trust on that same date.

    Takeover Offer Terms and Securities Affected

    The filing states that the off-market takeover bid for all securities in Reef Casino Trust was made on terms set out in the Bidder’s Statement dated 29 August 2025, as supplemented. The consideration disclosed was $3.87 in cash per security, payable to the holder of the security and subject to the terms of the Takeover Offer. The change in relevant interest affected 33,046,908 Ordinary Units and 370,000 Founder Units, with the same number of votes affected in each respective class of security.

    Previous Notice and Signatories

    The filing discloses that the previous substantial holding notice was given to the company on 26 March 2026 and was dated 25 March 2026. That earlier notice related to Allwyn AG, which has since been renamed KKCG Entertainment AG. The Form 605 cessation notice was signed on 7 September 2026 by Pavel Saroch and Paul Schmid, both in their capacity as Members of the Board of Directors of KKCG Entertainment AG. The Allwyn Group includes multiple entities registered across Switzerland, Austria, Luxembourg, the Czech Republic, and Ukraine, as listed in Annexure B of the filing.
