    Sports Entertainment Group (ASX:SEG) is entering a major new phase after agreeing to acquire MediaWorks, New Zealand’s leading audio business. The transaction significantly expands the company’s scale and broadens its Investment story beyond its traditional Australian sports-media base.

    At the time of writing on 28 August 2026, Sports Entertainment Group was trading at AUD 0.28, up 10.00%, or AUD 0.025, for the session. The price movement is noted separately from the company’s operational developments and is not attributed to any specific catalyst.

    For investors, the MediaWorks deal recasts SEG as a broader trans-Tasman audio and entertainment platform, creating a larger listener network but also introducing new integration, funding and execution considerations.

    SEG agreed on 12 August 2026 to acquire MediaWorks for an Enterprise value of NZ$130 million, or about A$107.4 million, on a cash and debt-free basis. Completion is targeted for 1 October 2026.

    MediaWorks generated A$131.2 million in Revenue and A$18.1 million in EBITDA for the 12 months to 30 June 2026. It reaches around 2.4 million weekly listeners and commands roughly a 59% audience share among New Zealanders aged 25 to 54.

    Its rova digital platform also attracts more than 540,000 monthly active users, extending the company’s reach beyond traditional radio.

    To fund the acquisition, Sports Entertainment Group (ASX:SEG) arranged an A$87.6 million senior DebtFacility from Commonwealth Bank, an A$11.7 million EquityPlacement comprising 42 million shares at A$0.28 each, and a share purchase plan of up to A$2 million.

    Management said the Acquisition is expected to deliver a 59% earnings-per-share uplift before synergies. Combined pro forma EBITDA was estimated at A$36.1 million, increasing to A$41.1 million after expected synergies.

    SEG also terminated its existing on-market share buy-back as part of the broader Capital restructuring associated with the acquisition.

    Sports Entertainment Group is an ASX-listed sports, media and entertainment company whose portfolio has historically centred on Australian radio and digital sports content, including the SEN network.

    Its Business model combines broadcast audio, digital platforms, sports content and events, with revenue generated largely through advertising, sponsorships and audience engagement.

    The MediaWorks acquisition substantially broadens that platform by adding New Zealand’s leading commercial audio operator and its digital rova service.

    Chief Executive Craig Hutchison has positioned the transaction as an opportunity to establish immediate market leadership in New Zealand while extending SEG’s sport, digital and entertainment capabilities.

    Combined, the enlarged group is expected to reach more than five million weekly listeners across Australia and New Zealand, giving advertisers and commercial partners access to a much larger audience base.

    The most immediate milestone is completion of the acquisition, currently targeted for 1 October 2026.

    After completion, investor attention will shift toward integration and whether SEG can capture the synergies required to lift pro forma EBITDA toward A$41.1 million.

    The company’s ability to manage the enlarged Balance Sheet will also be important. Leverage is expected to be around 1.9 times pro forma EBITDA at completion, with management targeting a reduction toward approximately 1.2 times within two years.

    The performance of advertising markets in both Australia and New Zealand will also remain an important earnings driver, given the group’s dependence on commercial audio and media spending.

    Audience trends across SEN, MediaWorks and rova will provide another measure of whether the larger platform can translate scale into sustained revenue growth.

    Digital engagement could become increasingly important, particularly if SEG can grow rova and other digital products alongside its traditional broadcast assets.

    The MediaWorks acquisition introduces significant integration risk. Combining two large media operations across different markets will require disciplined execution, and expected synergies may take longer than anticipated to emerge.

    The deal also increases SEG’s debt burden, leaving the company more exposed to interest costs and any downturn in advertising revenue.

    Audio advertising remains cyclical and sensitive to economic conditions, while the enlarged business will now be exposed to both Australian and New Zealand consumer and corporate spending trends.

    The equity placement and share purchase plan also increase the number of shares on issue, creating dilution for existing shareholders.

    Currency movements between the Australian and New Zealand dollars add another layer of earnings variability for the combined group.

    The MediaWorks acquisition represents a defining strategic shift for Sports Entertainment Group.

    The transaction gives SEG greater scale, New Zealand market leadership and access to a materially larger listener base, while broadening the company’s digital and commercial audio footprint.

    The strategic rationale is substantial, but the value created will depend on smooth integration, achievement of expected synergies and disciplined balance-sheet management.

    As Sports Entertainment Group (ASX:SEG) moves toward completion of the transaction, execution across integration, leverage reduction and advertising performance will determine whether the enlarged trans-Tasman platform can translate scale into durable earnings growth.
