    GameStop Climbs 4% as $358M Cash Payment Caps Dilution, Roblox Slips, Take-Two Interactive Treads Water

    GameStop just rewrote the terms of a billion-dollar note exchange overnight, and the stock is responding, but the earnings story behind the move is more complicated than the headline gain suggests.

    The dilution overhang that hovered over GameStop since it first announced a convertible note exchange this month is off the table this morning. GameStop (NYSE:GME | GME Price Prediction) stock is up 4% to $18.52 after the company amended its exchange agreements to fix the total share count and pay part of the consideration in cash.

    Meanwhile, Roblox (NYSE:RBLX) stock is down 1% to $38.12 as investor-alert activity continues to pressure sentiment, and Take-Two Interactive (NASDAQ:TTWO) stock is up 0.1% to $235.63 ahead of its Grand Theft Auto VI launch.

    The SPDR S&P 500 ETF Trust (NYSEARCA:SPY) is down 0.36% to $766.57, so this is a GameStop-specific repricing rather than a sector bid. The video game group isn’t moving together today.

    Note Exchange Caps the Share Count

    GameStop amended its exchange agreements covering approximately $1.4 billion aggregate principal of 0.00% convertible senior notes due 2030 and 2032. As originally structured, the exchange was to settle entirely in Class A common stock, with the share count based in part on a volume-weighted average price over a 35 trading day reference period that began August 3, 2026. The amendment terminates the remainder of that reference period.

    Under the revised terms, noteholders will receive roughly 55.5 million shares, or 73% of the consideration, and roughly $358.4 million in cash, or 27%, which GameStop expects to fund from cash on hand. No additional shares are issuable in respect of the exchange, fixing the total share count.

    After closing, roughly $2.8 billion of notes will remain outstanding, split between roughly $1.1 billion due 2030 and $1.7 billion due 2032.     Preliminary Q2 Shows an Investment Gain Doing the Heavy Lifting

    GameStop also released preliminary results for the second quarter, covering the 13 weeks ended August 1, 2026. Net sales are expected in the range of $780 million to $800 million, against $972.2 million a year earlier. The retailer attributes the decline to the prior-year launch of the Nintendo Switch 2, planned store closures, and the divestiture of its France operations.

    Operating income is expected in the range of $150 million to $170 million, against $66.4 million, with net income between $290 million and $310 million, against $168.6 million. GameStop’s net income includes roughly $238 million of net gains tied to GameStop’s eBay derivative asset and equity investment, partially offset by a loss of roughly $75 million on digital assets and related receivables. Cash, cash equivalents and marketable securities are expected between $5.05 billion and $5.07 billion, against $8.694 billion.

    GameStop’s position in eBay (NASDAQ:EBAY) anchors the profit line. The retailer held roughly 43.4 million eBay shares with a fair value near $4.947 billion as of August 1. GameStop CEO Ryan Cohen made an unsolicited $56 billion offer for eBay earlier this year, which eBay rejected as “neither credible nor attractive,” per The Wall Street Journal, after GameStop disclosed a 7.78% stake in a May SEC filing.

    Peers Show the Video Game Group Isn’t Moving Together

    Through Friday’s close, GameStop stock was down 11% year to date (YTD), Roblox stock was down 52%, and Take-Two Interactive stock was down 8%. Roblox has been weighed down by monetization concerns after its Q2 2026 call flagged bookings weakness tied to under 13 cohorts and discovery algorithm changes.

    Take-Two Interactive delivered a strong Q1 FY2027 with net bookings of $1.39 billion above its guidance range, and management reiterated its $8 to $8.2 billion FY2027 net bookings outlook ahead of the November 19 release of Grand Theft Auto VI. CEO Strauss Zelnick called pre-order activity unprecedented while cautioning that “we haven’t sold one unit yet you can cancel a pre-order.”

    What to Watch

    Investors can watch for the exchange to close on or about September 3 and for complete second-quarter results on September 8, 2026 to confirm the preliminary figures. The operating swing came from an eBay-related investment gain rather than the retail business, which is worth weighing on GameStop’s forward multiple.

    Traders can keep an eye on GameStop stock for how the fixed share count and reduced dilution risk shape the next leg.
